| dc.description.abstract | Küreselleşme akımı, günümüzde internet ve teknolojinin yaygın kullanımı ile birlikte maksimum seviyeye ulaşmıştır. Alım-satım, birleşme-devralma, distribütörlük, kiralama (leasing) gibi ve hatta isimsiz birçok yeni sözleşmenin kurulması ve ifası çevrimiçi ortamlarda gerçekleştirilmektedir. Hem piyasaların ve rekabet ortamının bu derece genişlediği hem de sözleşme çeşitliliğinin bu derece arttığı günümüzde, tezimizin temelini oluşturan "due diligence" (durum tespiti) kavramı oldukça önemli bir fonksiyona sahiptir. Şirketlerin büyümelerinde önemli bir yere sahip olan birleşme-devralma işlemleri alanında uzman kişiler tarafından yürütülen bir süreçtir. Due diligence ile bu süreçteki iş ve işlemler, gerekli dikkat ve özen gösterilerek incelenecektir. Due diligence, birleşme-devralma süreci ve hisse satım sözleşmesinin bir parçası olmasının yanında, alıcı veya satıcı (hedef şirket) ile due diligence hizmetini sağlayan taraflar arasındaki başka bir sözleşmenin konusunu oluşturur. Bu sözleşme, sadece due diligence'ın konu edildiği münferit bir sözleşme olabileceği gibi birleşme-devralma sürecindeki danışmanlık hizmetlerinin tamamı için yapılan ve "engagement letter" olarak adlandırılan sözleşmesinin bir kısmı olarak da yapılabilir. | dc.description.abstract | The globalisation trend has reached its maximum level with the widespread use of internet and technology in the modern age. New contracts in a wide range of areas, including buying-selling, mergers and acquisitions (M&A), distributorship and leasing, and even numerous innominate contracts are concluded and executed via online platforms. In today's world where the markets and the competitive environment have expanded to this extent, and the type of contracts diversified widely, the concept of "due diligence", which forms the basis of this dissertation, has a very important function. M&A transactions, which have an important role in the growth of companies, are carried out by experts in this field. With the due diligence process, the transactions in this process will be examined with the necessary attention and care. Due diligence is the subject of a separate contract between the buyer or seller (target company) and the parties providing the due diligence service as well as being a part of the M&A processes and share sale agreements. This contract can either be laid out as a separate contract where the subject is only "due diligence", or it can be included in a comprehensive "engagement letter" covering all consultancy services that will be offered during the M&A process. Within this framework, this dissertation examines the M&A transactions, due diligence, contractual nature of due diligence, engegament letter, consultancy agreement and the effect of these transactions on the relevant parties' liabilities. | |
