dc.description.abstractTicari işletmenin devri kurumu 6102 sayılı Türk Ticaret Kanunuyla birlikte değişikliğe uğramıştır. TTK m. 11/3'de, ticari işletmenin malvarlığının ayrı ayrı tasarruf işlemine ihtiyaç olmaksızın devir sözleşmesiyle bir bütün halinde devredilebilmesi imkanı getirilmiştir. Ticari işletmenin aktif ve pasifleriyle birlikte devredilmesi halinde ise işletmenin borçlarının durumu TBK' nın 202. maddesinde düzenlenmiştir. Çalışmamızda ticari işletmenin devrinde borçların intikali incelenmiştir. Konunun daha iyi anlaşılabilmesi için ticari işletme ve ticari işletmenin devri kurumu da ayrıntılarıyla açıklanmıştır. Yine çalışmada, ticari işletmenin devri halinde, işletmeye dahil borçların tarafların iradesiyle kapsam dışında bırakılıp bırakılamayacağı ve ticari işletmenin devriyle birlikte borçların devrinin etkileri de ortaya konulmuştur.
dc.description.abstractThe notion of transfer of the commercial enterprise has been changed with the Turkish Commercial Code No. 6102. TCC Art. in 11/3 enabled that the property of a commercial enterprise without the need for separate act of disposal can be transferred as a whole with the transfer contract. In case the commercial enterprise is transferred together with its assets and liabilities, the status of the enterprise's debts is regulated in Article 202 of the TCO. In our study, it is examined the transition of debts in the transfer of a commercial enterprise. For a better understanding of the subject, the commercial enterprise and the notion of transfer of a commercial enterprise are also explained in detail. Again in the study, in case of transfer of the commercial enterprise it has been revealed whether the debts included in the enterprise can be excluded from the scope by parties' will and legal consequences of the transition of debts in the transfer of a commercial enterprise.
